A&O advises on financing aspects in connection with the acquisition of Fabbrica Italiana Sintetici (FIS) by Bain Capital

Allen & Overy advised certain financing sources as purchasers in connection with the issuance of EUR50m Sustainability-Linked Senior Secured Floating Rate Notes due 2027 issued under FIS’ existing indenture.

The Notes were issued on 13 December 2023 and the relevant proceeds were used to repay certain of FIS’ outstanding indebtedness.

In addition, Allen & Overy advised the super senior revolving facility lenders on amendments to, and upsize of, FIS’ existing super senior revolving credit facility in order to facilitate the transaction.

Bain Capital acquired F.I.S. Fabbrica Italiana Sintetici, a manufacturer of chemical products for the pharmaceutical industry, from Nine Trees Group (NTG), the holding company of the Ferrari family, which founded the pharmaceutical company in Montecchio Maggiore in 1957. The M&A transaction closed on 12 December 2023.

The Notes issuance was led by high yield partner Marwa Elborai, with support from senior associate Odysseas Theofanis and associate Qi Xie. The super senior revolving facility lenders were advised by finance partner Alice Smith, with support from associate Julius Greiner. Italian law advice was provided by partners Cristiano Tommasi and Pietro Scarfone, with support from associates Valentina Calò and Edoardo Brugnoli. Specialist tax advice was provided by counsel Elia Ferdinando Clarizia.
