Joyce advises on a wide range of commercial contracts, with a particular focus on large scale digital infrastructure and technology-related matters.

She has extensive experience drafting and negotiating complex and business-critical arrangements and regularly works with clients in multiple jurisdictions and sectors, including technology, telecommunications and financial services.

She also regularly provides strategic advice on the IP, IT, data protection and transitional service aspects of major M&A transactions.

Experience

Representative matters

  • EQT on its potential acquisition of a majority stake in a newly-created company which will own and operate an European telecom provider’s mobile and fixed network, the enterprise value of the new company being over EUR 3 billion.
  • News Corp UK & Ireland Limited on a joint venture with the Daily Mail and General Holdings Limited to combine the printing operations of both entities in the UK.
  • A major telecommunications company on its multi-year collaboration with an IT services provider on a strategic collaboration to evolve and scale the telecommunication company’s digital entertainment and connectivity platforms, estimated at EUR 1.5bn over the initial 5-year term.
  • Liberty Global, Telefonica and Virgin Media O2 on the establishment of nexfibre, their fibre network infrastructure joint venture with InfraViaCapital Partners.
  • A payment systems operator and provider of critical national financial markets infrastructure on a request for proposal to the market for the design, build and delivery of a financial services platform / case management solution.

 

Pro bono

  • Advised not-for-profit organisations on corporate and governance issues, contractual arrangements and data privacy issues.
  • Advising Jane Goodall Institute UK in relation to various privacy matters, including its privacy policy, data transfer agreements, charter agreement, and other ad-hoc advice.
  • Advising various other not-for-profit organisations on contractual arrangements and data privacy issues.
