Katrien focuses on corporate finance transactions and U.S. securities laws matters, advising corporate and sovereign issuers, financial sponsors and investment banks in connection with equity and debt offerings under Rule 144A, Regulation S and other private placement transactions, as well as U.S. SEC-registered offerings.

Katrien has represented a broad range of issuer and sponsor clients including the London Stock Exchange Group, OCP, Reckitt Benckiser Group plc, Yahsat, the Republic of South Africa, Parcom Capital, Brookfield as well as international investment banks.

Katrien was also a secondee in the legal department of Citigroup Global Markets Limited within the Debt Capital Markets department.

Representative matters

  • Sirius Minerals on its USD3.8bn Stage 2 Financing to fund its North Yorkshire polyhalite project.
  • Reckitt Benckiser in connection with its EUR1.7 billion and GBP500 million offering of notes under Rule 144A/Regulation S.
  • Novem Group in connection with its EUR400 million offering of notes under Rule 144A/Regulation S (underwriters’ counsel).
  • Republic of South Africa on its USD2 billion and USD3 billion offering of SEC-registered notes. Sazka Group in connection with its EUR300 million offering of notes under Rule 144A/Regulation S (underwriters’ counsel).
  • Investec Asset Management on its demerger, and proposed IPO and listing on the LSE and JSE (underwriters’ counsel).
