Miao advises asset managers on the structuring, establishment and ongoing operation of Luxembourg private funds investing across a broad range of asset classes (including PE/VC funds, infrastructure funds, real estate funds, credit funds, impact funds, fund of funds, GP stake funds and crypto funds), as well as of pledge funds, separately managed accounts, co-investment vehicles and carried interest vehicles.

She has extensive experience in advising on cross-border fund structuring and is experienced with both Luxembourg and Cayman structures. Miao also regularly assists sovereign funds and institutional investors on their participation/investments in private funds, and advises funds and banks on fund finance transactions.

She is an active member of the Luxembourg Private Equity Association (LPEA) and the Association of the Luxembourg Fund Industry (ALFI).

Miao is recognized as a “Next Generation Partner” for Investment Funds in Luxembourg by Legal 500.

Representative matters

  • AP4, IMAS, Industriens and KLP on the establishment of a EUR 1 billion infrastructure pledge fund and a parallel fund managed by Arjun Infrastructure Partners that invest in low-risk European infrastructure assets.
  • AXA Investment Managers on the establishment of a Luxembourg based RAIF and its successor fund, which focus on acquiring revolving credit facilities granted to non-investment grade companies.
  • White Oak on the establishment of a Luxembourg fund investing in diversified portfolio of primarily senior secured credit and debt instruments consisting of senior secured asset-based loans.
  • Axiom on the establishment of a Luxembourg fund of fund investing alongside a Cayman parallel fund with a total target fund size of USD 2.5 billion.
