Nwadi focuses on domestic and global corporate transactions including mergers, acquisitions, restructuring and carve-outs and sales of public and private companies and their business and assets.

Her experience spans across multiple sectors including agriculture, healthcare and pharmaceuticals, entertainment, and corporate governance matters.

Nwadi has served as co-chair of BLAQUE, the firm’s Black attorneys’ inclusion network. BLAQUE focuses on mentoring, networking and professional development initiatives to support the recruitment and advancement of Black attorneys.

Representative matters

  • Paramount Global (f/k/a ViacomCBS Inc.) in its $1.6 billion sale of Simon & Schuster to an affiliate of KKR. This deal occurred after the U.S. Department of Justice blocked Paramount’s attempted sale of Simon & Schuster to Penguin Random House, a subsidiary of Bertelsmann AG.
  • CVS Health Corp. in its $10.6 billion acquisition of NYSE-listed Oak Street Health. This deal was awarded Americas Corporate M&A Mega Deal of The Year – The M&A Atlas Awards, 2023.
  • Genmab A/S in its $1.8 billion acquisition of ProfoundBio.
  • Orion Resource Partners in its $221.6 million sale of a minority stake in Sweetwater Royalties to Ontario Teachers’ Pension Plan.

Pro bono

  • Advising special immigrant juvenile status’ client to obtain a laful permanent residency visa.
  • Partnering with Lawyers Without Borders Africa to on gender-inclusive policing in Tanzania.
