A&O Shearman advises Atrion Corporation in USD815 million merger with Nordson Corp

A&O Shearman advised Atrion Corporation, a developer and manufacturer of products primarily for medical applications, in its pending merger with Nordson Corporation. To execute the merger, Nordson will acquire Atrion for USD460 per share, payable in cash, representing a total equity value of approximately USD815 million.

The transaction was announced on May 28, 2024 in a press release, and is expected to close in the third quarter of 2024 subject to the satisfaction of customary closing conditions.
