Veronika advises on a wide range of corporate and capital markets law with a strong focus on public and private M&A transactions. 

She is further specialized on complex cross-border corporate reorganisations, on advising listed companies on all matters related to corporate governance, market abuse regulation and public takeover law and has a particular focus on Japanese inbound and outbound corporate M&A.

Veronika works with German and international companies as well as financial investors across jurisdictions and in multiple sectors including technology, pharmaceutics, financial services, industrials, chemicals, energy and many more. She has further gained experience through her secondment to a client in the financial institutions sector.

  • SAP SE on the acquisition of Kausa technology, a machine learning-based advanced analytics SaaS platform, from The Why Company.
  • CropEnergies AG, the leading European producer of renewable ethanol, on the delisting acquisition offer from Südzucker AG.
  • W.A.G payment solutions plc (Eurowag) on its acquisition of a minority stake in and strategic partnership with JITpay Group.
  • TF1 and Ykone S.A.S on the acquisition of majority stake in German Influencer Marketing Agency COVER Communications GmbH & Co. KG and COVER PR Beteiligungs GmbH.
  • Uniper SE on the EUR 33bn stabilization package, which was agreed between Uniper, the German Federal Government and the major former Uniper shareholder Fortum Oyj.
  • GERRY WEBER International AG, an international fashion and lifestyle group, in connection with its ongoing complex financial and corporate restructuring process.
  • GD Midea Heating & Ventilation Equipment Co., Ltd on the planned acquisition of the European business of a plant manufacturer. (aborted).
  • An international financial services provider on its cross-border intragroup reorganization.
  • MAX Automation SE on capital increase in the amount of approx. EUR 50m.
  • Werte-Stiftung on the sale of the innovation and sustainability platform Futury GmbH to Frankfurt School of Finance and Management.
