A&O Shearman advises Atrion Corporation in USD815 million merger with Nordson Corp

A&O Shearman advised Atrion Corporation, a developer and manufacturer of products primarily for medical applications, in its pending merger with Nordson Corporation. To execute the merger, Nordson will acquire Atrion for $460 per share, payable in cash, representing a total equity value of approximately $815 million.

The transaction was announced on May 28, 2024 in a press release, and is expected to close in the third quarter of 2024 subject to the satisfaction of customary closing conditions.
