A&O Shearman has advised Crédit Agricole Corporate and Investment Bank and Banca Akros (Banco BPM Group) as joint arrangers, together with Societe Generale and UniCredit, as joint lead managers, on a securitization of performing consumer receivables with a value over EUR1.1bn by Agos Ducato.

The transaction was carried out in compliance with the requirements of “simplicity”, “transparency”, and “standardization” (STS) provided by the EU securitization regulation.

The senior and mezzanine notes issued by Sunrise SPV 96 S.r.l. have been rated by Morningstar DBRS and Fitch and were admitted to listing on the regulated market of the Luxembourg Stock exchange. The Class A1 notes were placed to institutional investors, apart from an amount retained by Agos on a risk-retention basis.

The A&O Shearman team was led by partner Pietro Bellone, supported by associate Chiara D’Andolfo and trainee Luca Marchesini. Counsel Elia Ferdinando Clarizia provided assistance on tax-related matters.
