A&O Shearman advises on EUR500 million high yield bond by International Game Technology plc.

A&O Shearman advised the Joint Lead Managers and the Initial Purchasers on a EUR500 million high-yield bond offering by International Game Technology PLC (IGT), a global leader in providing lottery solutions. The bond pays a coupon rate of 4.250% and was issued by IGT Lottery Holdings B.V. a wholly-owned subsidiary of IGT, and is guaranteed on a senior basis by IGT and several of its wholly-owned subsidiaries.

The bond was issued in accordance with Rule 144A and Regulation S under the U.S. Securities Act, is listed on the official list of Euronext Dublin and has been admitted to trading on the Global Exchange Market of Euronext Dublin.

The team advising on the New York law aspects of the transaction was led by partner Trevor Ingram, supported by senior associate Evangelia Andronikou and associates Irene Mainar Borao, Connor Anear and Shruti Sethi (London). The English law aspects were handled by partner Robert Burt (London and Milan) and counsel Andrew Cook (London).

The multi-jurisdictional team advising on the transaction also comprised partners Craig Byrne and Pietro Scarfone, and counsel Alessandra Pala in Italy, partner Thomas Mastoras in New York, partner Thomas Neubaum in Germany and partner Jonathan Heeringa and counsel Tom Reutelingsperger in the Netherlands.
