Financial investor CVC initiates takeover of CompuGroup Medical SE & Co. KGaA

A&O Shearman advises supervisory board and independent members of the administrative board of CompuGroup Medical.

A&O Shearman has advised the supervisory board and the independent members of the administrative board of CompuGroup Medical SE & Co. KGaA (CGM) in connection with a strategic partnership agreement between CGM and CVC Capital Partners (CVC), a leading global private equity firm, and GT 1 Vermögensverwaltung GmbH, the majority shareholder of CGM.

In particular, the partnership with CVC will become effective if a bidder controlled by CVC investment funds successfully completes a voluntary public tender offer directed at all CGM shareholders at a price of EUR 22.00 per CGM share. The offer price corresponds to a premium of 51.1 per cent on the volume-weighted average price of the past three months.

The administrative board, the managing directors and the supervisory board welcome the strategic partnership with CVC and the voluntary public tender offer. The founding Gotthardt family and its related shareholder Dr. Reinhard Koop will retain their majority stake in CGM. CGM founder Frank Gotthardt remains chairman of the administrative board, and Prof. (apl.) Dr. med. Daniel Gotthardt continues as chief executive officer and member of the administrative board.

The partnership with CVC is expected to support CGM's long-term innovation and growth strategy. Together, CGM and CVC aim to drive innovation in healthcare for the benefit of patients and healthcare providers worldwide. The declared joint goal is to offer medical professionals reliable support with next-generation products and strong customer support.
