SBI Group to acquire majority stake in Solaris

SBI Group, a leading Japanese financial services conglomerate, has decided to acquire a majority stake in Solaris SE. As a result, Solaris SE will henceforth belong to the SBI Group.

The transaction is part of a successful recapitalization of Solaris SE. In addition to the SBI Group, other companies were involved in the recapitalization. For example, Börse Stuttgart Group has acquired a significant holding in Solaris SE. In this transaction, the SBI Group was fully advised by A&O Shearman.

The acquisition is subject to regulatory approval.

SBI Group has been investing in Solaris SE since 2017 through its managed funds and its subsidiary. The CRR credit institution based in Berlin is a market leader in the field of "embedded finance," with various business partners such as ADAC, for which it issues the credit card program, and the Börse Stuttgart Group.

Already in March of last year, a team led by Alexander Behrens successfully advised the SBI Group on their investment in Solaris SE as part of their Series F3 financing round.
