Adella is an associate in the Projects and Energy Group.

She has assisted multilateral agencies, sponsors, lenders and government entities on complex energy, natural resources, climate change and infrastructure projects in Indonesia (e.g., mergers and acquisitions, joint ventures, banking, and project finance).

Her experience includes advising on transaction structures, navigating regulatory gaps, leading due diligence, and drafting and negotiating transaction documents.

Representative matters

  • Advising an international financial institution on regulatory overview of carbon trading schemes in Indonesia.
  • Advising and assisting an Environmental, Social and Governance fund in structuring a project service agreement between an offshore SPV and an Indonesian project operator related to a carbon finance in Indonesia.
  • Advising a global carbon exchange for the establishment of a subsidiary in Indonesia to be the owner and operator of an Indonesian carbon exchange or marketplace.
  • Advising a client on the development of a carbon capture and storage project utilising the reservoirs of one of the gas fields in Indonesia.
  • Assisting a Japanese group in structuring and preparing a joint project agreement related to a carbon finance in Indonesia.
  • Assisting a certified B Corporation in preparing a cooperation agreement between an Indonesian company and the local governor relating to a greenhouse gas emission reduction program.
  • Representing clients on the proposed mangrove afforestation projects in Indonesia including advising on its related investment, structuring and carbon credits issues.
  • Representing a consortium (as a bidder) in a bidding process held by PT Angkasa Pura II (Persero) (AP II) for a strategic partnership in an existing airport in Indonesia, including carrying out due diligence over the existing airport and negotiating provisions under the project documents.
  • Advising a client on establishment of an investment platform with certain other investors, including Indonesia Investment Authority, to acquire interests in a number of toll road concession projects.
  • Advising a client on development of two drinking water treatment plants in Indonesia by way of unsolicited public-private partnership (PPP).
  • Representing PT Penjaminan Infrastruktur Indonesia (Persero) as a guarantor in Jatiluhur water PPP project.
  • Representing Copenhagen Infrastructure Partners, through its Copenhagen Infrastructure New Markets Fund I, on the acquisition of a 50% interest in a 400 MW portfolio from PT Akuo Energy Indonesia (a subsidiary of Akuo SAS) and related equity funding and joint venture arrangements with Akuo SAS.
  • Advising various solar developers for corporate PPA arrangement with commercial and industrial customers.
  • Reviewing construction services contracts and advising clients on construction matters in Indonesia.
  • Representing a foreign gas company on the subscription of shares in an Indonesian gas company, including advising on its related investment, structuring and licensing issues.
  • Acting as Indonesian counsel to lenders in conducting due diligence and drafting related documents on proposed loan facilities for financing purposes of among others, construction of production lines of smelting the nickel and cobalt of an Indonesian nickel company.
  • Representing a foreign electric power generation company on acquisition of majority equity interest in three coal-fired steam power project companies, by way of shares acquisition in their Indonesian holding company.

  • Becoming one of the contributors in “Women, Business and the Law 2020” and “Women, Business and the Law 2021” books published by World Bank.
