Alice primarily acts for banks and private credit funds in domestic and cross-border leveraged and acquisition financing transactions. She is well versed at advising across the capital structure, including on syndicated and unitranche financings, second lien, bridge to bond and PIK instruments.

  • The financing sources to provide a debt finance package in support of Advent International’s acquisition of Zimmermann.
  • The initial purchasers and arrangers in connection with the issuance by IRCA, a leading international specialty ingredients platform based in Italy and backed by Advent International, of senior secured floating rate notes and entry into a new super senior multi-currency revolving credit facility, in connection with the company’s refinancing of its existing facilities.
  • The lenders in respect of the upsize of FIS’ existing financing in connection with the acquisition of FIS by Bain Capital.
  • The financiers in connection with the financing of the acquisition of IRCA S.p.A. by funds advised by Advent International.
  • The bookrunners and underwriters on the financing for the EUR5bn acquisition of Vodafone Spain by Zegona.
  • The initial purchasers and lenders in connection with the offering by Herens Midco and Herens Holdco of US$350 million 4.750% Sustainability-Linked Senior Secured Notes due 2028 and €460 million 5.250% Sustainability-Linked Senior Notes due 2029, €750 million and $1,095 million term loans B and a €375 million revolving credit facility, in connection with the acquisition by funds advised by Bain Capital and Cinven of Lonza Specialty Ingredients.
  • The underwriters in respect of the financing package in connection with the acquisition of Recipharm AB by funds advised by EQT by way of a public takeover offer.
