Andrew advises clients on complex and business-critical commercial agreements, with a focus on the communications and technology sectors. 
This includes extensive experience of digital infrastructure transactions across the globe, advising telecom operators making disposals as well as strategic infrastructure operators and financial investors. Andrew also advises on complex separation/transition aspects of M&A across a broad range of transaction types and sectors.

Representative matters

A multinational telecommunications company on its GBP31.4bn joint venture with Telefónica to merge Virgin Media and O2’s fixed, broadband and mobile businesses in the UK (Telecom M&A Deal of the Year – Europe, TMT Finance 2021). 

A multinational telecommunications company on the commercial agreements concerning the formation of AtlasEdge, a pan-European edge colocation data centre joint venture with DigitalBridge (Digital Infrastructure Deal of the Year – Europe, TMT Finance 2021).

A group of telecommunications services providers on the sale of towers in Russia to Service-Telecom for a total of RUB70.65bn (USD970million).

GN Hearing in respect of a suite of related commercial agreements forming a “Smart Hearing Alliance” joint venture with Cochlear, featuring joint research and development, shared technology and commercial collaboration.

An emerging markets MNO group on a series of disposals of mobile tower infrastructure.

An international digital infrastructure investor on its final-round bid for the multi-country carve-out and stake sale of Telia’s towers portfolio.
