Austin also has experience advising operating companies on “status” issues that arise under the Investment Company Act of 1940 and the application of federal securities laws to digital assets and emerging technologies.

  • MetLife Investment Management, the institutional asset management business of MetLife, Inc., in the acquisition of PineBridge Investments from the Pacific Century Group in a deal valued at up to USD1.2bn.
  • Figure Certificate Company (FCC), a subsidiary of Figure Markets Holdings (“Figure”), on its registration with the Securities and Exchange Commission (SEC) as a face-amount certificate company and its registration of securities called YLDs that will function as a new type of stablecoin.
  • Quest Diagnostics Incorporated in connection with its registered offering of $750,000,000 aggregate principal amount of its 6.400% Senior Notes due 2033.

Pro bono

  • Advising Impact Investment Exchange (IIX) for the Women’s Livelihood Bond™ 6 (WLB6), the sixth bond in the IIX Women’s Livelihood Bond Series™ (WLB Series).
