He has experience advising clients in a number of merger and acquisition transactions, as well as corporate financing transactions through equity instruments. He also has experience advising numerous clients on legal issues relating to corporate laws and regulations of the Thai SEC and SET, as well as conducting due diligence exercises for various transactions.

Representative matters

  • Telenor Asia, part of the Norwegian majority state-owned multinational telecoms company Telenor Group, together with Total Access Communication Public Company Limited (dtac), on the amalgamation of the telecoms operations of dtac and True Corporation Public Company Limited in Thailand. The transaction is the largest telecommunications merger in Southeast Asia to-date, with the new company having a combined enterprise value of USD20.7bn, and serving an estimated 55m mobile customers, 5m broadband connections, as well as 3.2m pay-TV subscribers.
  • TMB Bank Public Company Limited on its approximate USD5.5bn merger with Thanachart Bank, and TMB Bank’s related equity fundraising process through the issue of transferable subscription rights which raised in excess of approximately USD1.2bn. The deal marked the largest bank merger in Thailand to-date and positioned the merged entity as the sixth largest bank in the country by assets.
  • Engie Global Developments B.V. (an affiliate of Engie S.A.) on the disposal of its entire 69.1% interest in Glow Energy Public Company Limited to Global Power Synergy Public Company Limited. This USD2.95bn deal represented Thailand’s largest completed M&A deal and Asia’s largest M&A deal in the power sector, both for the year 2018 and 2019. Awarded 'Power M&A Deal of the Year' at The Asset Triple A Infrastructure Awards 2020, and 'Best Cross-Border M&A Deal: Thailand' at The Asset Triple A Country Awards 2020.
  • Starbucks Corporation on the USD650m sale of its Thailand retail business to, and entry into franchising licensing arrangements with, Coffee Concepts Thailand Co., Ltd. (a JV between Maxim’s Caterers Ltd. and Thai partner F&N Retail Connection Co., Ltd.).  This transaction included assisting the Starbucks team to diligence over 400 past, current and potential future leasing arrangements as well as managing advice and investigations into key business and operational food selling and storage licenses, as well as customs and import issues around Starbucks’ foreign sourced products.
  • Ngern Tid Lor Public Company Limited (TIDLOR) as Thai and international counsel to the financial advisor and lead underwriters on the THB33.1bn initial public offering and share listing on the SET. Jointly owned by Bank of Ayudhya and a private equity consortium led by CVC Capital Partners Asia Fund IV, TIDLOR is a leading non-bank provider of auto finance, hire purchase, personal loans and insurance services in Thailand. It operates some 1,000 branches nationwide, and also ranks first in terms of loan portfolio size among the country’s non-bank lenders with respect to auto-title lending. Awarded 'Best Equity/IPO Deal of the Year in Southeast Asia’, 15th Annual Best Deal & Solution Awards 2021 by Alpha Southeast Asia.
  • Thai Credit Bank Public Company Limited (CREDIT) as Thai and international counsel to the underwriters on the THB7.369bn IPO and listing on the SET.  The IPO comprised a public offering of primary and secondary shares by CREDIT and the selling shareholder, OCA Investment Holdings I Pte. Ltd., in Thailand and a concurrent private placement to eligible investors outside Thailand pursuant to Reg S,
  • Osotspa Public Company Limited as Thai and international counsel to the underwriters in relation to the initial public offering of shares by.  The IPO and listing on the SET. This comprised a public offering of shares in Thailand and a concurrent private placement outside Thailand pursuant to Reg S under the U.S. Securities Act. Equity Market Deal of the Year (Midsize): Osotspa’s IPO on the SET, ALB Southeast Asia Law Awards 2019; and Best Mid-cap Equity Deal, Osotspa’s THB15.1bn IPO on the SET, The Asset Regional Awards 2018.
  • Central Group on two joint ventures with JD.com (and its affiliate JD finance) in the e-commerce and e-finance sectors in Thailand.  The joint venture agreements contemplated an aggregate investment of up to USD500m.
  • Central Group  on its USD200m investment in Grab Holdings to acquire a significant non-controlling stake in Grab's local Thailand-based entity.
