Jeroen advises and represents clients in corporate and commercial disputes including directors’ liability, inquiry proceedings at the Dutch Enterprise Chamber, earn-outs and other M&A related disputes, governance disputes, general contractual and non-contractual liability and various types of attachments, including evidentiary attachments and bank account attachments. Jeroen also has specific experience in disputes with respect to bank guarantees and letters of credit.
Jeroen joined the firm in 2017 and has also gained experience in M&A, with a focus on private equity.

Representative matters

  • Boskalis in injunctive relief proceedings before the District Court of Amsterdam to prevent payment under bank guarantees following the newly issued EU-sanctions against Russia following the invasion of Ukraine in 2021.
  • Several former directors of Royal Imtech N.V. before the District Court of Rotterdam against personal liability for the shortfall in the bankruptcy estate following its bankruptcy in 2015.
  • The Dutch minister of Finance in proceedings before the Enterprise Chamber of the Amsterdam Court of Appeals for the compensation of expropriated shareholders and bond holders in SNS Reaal N.V. and SNS Bank N.V.
  • Telegraaf Media Groep N.V. in inquiry proceedings before the Enterprise Chamber of the Amsterdam Court of Appeals regarding the public offers from Mediahuis and Talpa.
  • Defending a seller against a EUR 40 million post-M&A claim by the W&I insurers for alleged fraude.
  • Defending CRH plc. in a EUR 13 million post M&A earn-out dispute.
  • Defending a portfolio company of funds held by two global financial institutions against a EUR 35 million post-M&A earn-out claim.
  • Bencis Capital Partners in a joint venture dispute in relation to one of its portfolio companies (inquiry proceedings before the Enterprise Chamber of the Court of Appeals in Amsterdam)
  • Saltra Group (NCOI Group) in a post-closing take-over dispute.
  • Sequa Petroleum N.V. in protracted litigation with former bondholders on the alleged unlawful conversion of bonds.
  • Defending a prospective buyer against a claim for alleged unlawfully terminated negotiations for an envisaged M&A transaction.
