Johanna advises banks, corporations and other financial market participants on a full range of legal and documentation matters related to issuance of bonds, structured products, various derivatives and securitizations, including related regulatory matters.
During her two-year legal clerkship, Johanna spent one year in the international capital markets practice of A&O Shearman in Frankfurt and gained experience in international capital markets law. She joined the international capital markets team of A&O Shearman as an associate in 2023.

Representative matters

  • A large European bank in connection with an issuer substitution process relating to structured product programmes.
  • An international investment bank in connection with the documentation of OTC derivatives.
  • Several international investment banks on complex collateral agreements for derivative transactions with a European insurance group to optimize capital requirements and meet regulatory standards.
  • A global financial institution in its capacity as trustee with regard to creating security in several European countries in the context of a refinancing transaction for the Swiss Steel group (formerly S+B).
  • The European Investment Fund (EIF) and the European Investment Bank (EIB) in connection with Enpal's first public securitization of solar financing in Europe. The asset-backed securities (ABS) transaction has a total volume of EUR240m and is secured by a portfolio of around 8,500 solar financings originated by Enpal for German homeowners.
  • An institutional company for alternative asset management related to a securitization of a portfolio of German unsecured loan receivables, originating from a German branch of a foreign bank, to be acquired by an Irish special purpose vehicle.
  • GLAS Trust Corporation Limited as security agent in connection with the restructuring of the Leoni Group.
  • A global CRR credit institution in connection with the issuance of an AT1 bond, taking into account new regulatory requirements at European level with regard to the eligibility of AT1 instruments for Pillar II requirements.
