Michael Hossack

Senior Associate

Michael advises on a broad range of capital markets transactions from senior and subordinated bonds, green bonds, corporate debt restructurings and liability management to asset backed bonds, commercial paper and EMTN programmes.

He acts for both managers and issuers (including corporates, financial institutions, sovereigns and supra-nationals) across various jurisdictions including the Nordics, central Europe and emerging markets.

Michael has also spent time on secondment in the DCM legal teams at major investment banks. Michael also has experience in Fintech, particularly the digitation and automation of primary debt capital markets.

Representative matters

  • Hellenic Republic – the joint lead managers on various standalone bond issuances.
  • PPF Arena 1 – the joint lead managers on the establishment and inaugural drawdown under its EUR 3bn secured EMTN programme.
  • Imperial Brands, a UK corporate on the annual updates and drawdowns under its EUR 15bn GMTN programme.
  • Castellum, a Swedish real-estate company on the establishment, annual updates and multiple drawdowns under its EMTN programme and a standalone hybrid issuance.
  • Caterpillar Financial, the arranger and dealers on the annual updates, supplements and multiple drawdowns under its EMTN programme.
  • CPI Property Group – the joint lead managers on the establishment, annual updates and multiple drawdowns under its combined EMTN and hybrid securities programme.
  • International Hotels Group – the arranger and dealers on the annual updates and multiple drawdowns under its EMTN programme.
  • Republic of Senegal – the joint lead managers on its Rule 144A/Regulation S standalone issue of USD 1.2bn notes.
  • Bulgarian Energy Holding EAD, a Bulgarian state-owned entity, on its debut issue of EUR400m notes and subsequent issues.
  • Balder, a Swedish real-estate company on the on the establishment, annual updates and multiple drawdowns under its EMTN programme and various liability management exercises.
  • Západoslovenská energetika, a.s. (ZSE) on the establishment of its EUR1bn EMTN programme and inaugural issue thereunder.
  • Fintech at Nivaura, during his time here Michael led the development of General-Purpose Legal Mark-up Language (GLML), a mark-up language built to allow lawyers to easily turn existing precedents and pro forma documentation into machine readable documents, which can be used to create digital workflows for legal contracts and provide for the seamless flow of structured data.

Pro bono

  • Supporting Coram Children’s Legal Centre as an advocate by assisting children with a right in law to become British citizens and their parents to make any necessary applications that enable these children to effectively enjoy their citizenship rights.
  • Preparing a research report for a human rights charity on international and domestic legislation relating to asset recovery requests from the International Criminal Court.
  • Working with Toynbee Hall Legal Advice Centre to provide free legal advice to East London residents across a range of topics including housing, consumer and debt claims.
