Experience

Representative matters

A consortium of lenders on the US$7 billion debt financing of the US$12 billion Jazan IGCC project in Saudi Arabia.

The Japan Bank for International Cooperation (JBIC) and Mizuho Bank as lenders and Nippon Export and Investment Insurance (NEXI) in relation to the development and financing, and its refinancing of the 350 MW solar power project in Andhra Pradesh, India.

Numerous Japanese financial institutions’ investment in and/or sponsorship of private equity funds, including LBO, distressed assets and infrastructure funds.

Oil, Gas and Petrochemicals

JBIC and the commercial lenders on the financing of an FSRU designed to supply LNG to a powership project in Senegal.

A Japanese utility on its program to import clean ammonia to Japan for co-firing at its thermal power plants.

IFC on the financing of the expansion of the Songo Songo gas field off the coast of Tanzania.

A power company and its Sponsors, including two Japanese trading houses and conglomerates and an Indonesian state-owned oil and gas company, on the mezzanine financing for an Indonesian power generation company.

Power and renewables

Masdar Azerbaijan Energy LLC, a subsidiary of Masdar, in relation to the development and financing of the 230MWAC solar power project in Area 60 in the Republic of Azerbaijan.

SMBC in the refinancing of DFC’s loans to PT UPC Sidrap Bayu Energi for the financing of the 75MW Sidrap wind farm in Indonesia.

NEXI in relation to the financing from JBIC and other commercial lenders on the approximately $1.13 billion 1,800MW Hamriyah IPP in Sharjah, the UAE.

NEXI in relation to the NT$90 billion 589 MW Changfang and Xidao offshore windfarm in Taiwan.

JBIC and Mizuho Bank as lenders and NEXI in relation to the development and financing, and its refinancing of the 350 MW solar power project in Andhra Pradesh, India. This deal was awarded “Commended” in Managing Complexity & Scale (International) at the FT Asia-Pacific Innovative Lawyers Awards 2018.

J-Power, PT Adaro Energy Tbk and Itochu in the development and financing of the $4.3 billion 2,000MW Central Java IPP, a greenfield coal-fired power project in Central Java in Indonesia.

A State Authority in the MENA region on the financing of a $25 billion nuclear new build project and negotiating the EPC, Fuel Supply, O&M, and Radioactive Waste Treatment Contracts.

JBIC and the commercial lenders providing finance supporting numerous bids for the Facility D IWPP in Qatar.

A Chinese developer in the development and financing of a portfolio of solar projects in Japan.

Osaka Gas and Mitsubishi Corporation in their joint acquisition of a portfolio of solar power generation projects in Ontario, Canada.

Crédit Agricole Corporate and Investment Bank, as intercreditor agent, on ongoing financing issues related to the 1400 MW gas fired Ratchaburi power project in Thailand.

Metals and mining

Tosyali Toyo in connection with an unsecured financing from JBIC, SMBC and Yapi Kredi for the development, construction, operation and maintenance of a steel production plant in Turkey.

Sojitz Corporation in relation to a US$250 million loan with JOGMEC to Lynas Corporation for the construction and operation of a rare earths processing plant in Malaysia.

Sojitz Corporation as sponsor in relation to its participation in the joint development and implementation of the Southdown Magnetite Project in Australia.

Sojitz with respect to trade financing for metal offtake agreements from producers in Brazil.

Infrastructure

JBIC as lender in connection with its CAD 450 million project financing for the Ontario Line subway project in Toronto, Canada.

A Japanese ECA in connection with the financing of a portion of the Central Expressway in Sri Lanka.

Queensland Government with respect to the joint procurement of the AUD 4.8 billion Airport Link, Northern Busway and Airport Roundabout Upgrade projects.

A multilateral development bank in connection with its investment in a global infrastructure fund.

A sovereign wealth fund in relation to its investments in various global private equity funds.

A Japanese investor on investments in a multi-billion dollar European fund making investments across the entire low-carbon hydrogen value chain.

Japanese governmental institutions in the structuring and investment into a global infrastructure fund focused on investments in mega-infrastructure projects.

A Japanese mid-cap private equity firm in establishing an offshore fund for foreign institutional investors focused on Japanese buy-out opportunities.
