Nathalie is a corporate and commercial lawyer with a strong track record in mergers & acquisitions, private equity and foreign investments. She has extensive experience in advising clients on national and cross border transactions in Morocco and Sub Saharan Africa.

She regularly advises clients from various sectors, such as education, healthcare, financial services, energy, infrastructure, consumer goods, on their strategic transactions and investments in Africa. She has handled numerous complex and high-profile M&A transactions involving listed and non-listed companies and joint-ventures, as well as greenfield projects, across multiple jurisdictions and legal systems. She also assists clients with corporate governance and regulatory issues, such as antitrust and foreign exchange. Nathalie is recognized as a leading lawyer in her field by several international directories and publications.

Experience

Representative matters

  • A pool of Moroccan institutional investors on their acquisition from the Wilmar group of its entire stake in Cosumar S.A., a company listed in the Casablanca Stock Exchange, representing 30.05% of the share capital, in consideration of a price of circa. USD 600 million.
  • Tana and Saham on the sale to Globeducate of a majority stake in their education business in Morocco.
  • Sanlam group on the sale to the Ivorian group NSIA of four of its insurance subsidiaries based in Togo, Gabon, Congo and Guinea.
  • Amethis on its exit from the capital of CFG Bank  Development Partners International on the sale of 14.81% of the share capital of CMGP Group to Fipar Holding.
