Bill is Global Co-Head of Sector Strategy and has a diversified practice covering mergers and acquisitions, corporate finance and securities law, and he is a recognized long-standing leader in the US debt capital markets.

He has extensive experience advising clients on domestic and cross-border transactions, which frequently involve complex structuring and financing arrangements, as well as on corporate governance and other strategic advisory matters. 

Bill’s clients range from global public corporations to famous restaurateurs and their investment funds, and he regularly represents private equity sponsors and their portfolio companies in their M&A and finance activities. His broad-based experience includes advising on leveraged buyouts, private placements, public equity offerings, bond issuances, special purpose acquisition companies, joint ventures, strategic alliances, and board of director and special committee fiduciary matters. His work covers a variety of industries, including technology, media and entertainment, hospitality, consumer retail, telecommunications and manufacturing.

Representative matters

  • WillScot Corporation [NASDAQ:WSC] on its stock-for-stock merger with portable storage solutions provider Mobile Mini, Inc. [NASDAQ:MINI] and related financing including a $2.4 billion ABL credit facility and offering of $650 million of senior secured notes. The public company combination creates an industry-leading specialty leasing company. 
  • Represented EG Group on the acquisition of Cumberland Farms, which operates approximately 600 convenience retail stores and fuel stations across the U.S.
  • WillScot in its $1.2 billion acquisition of Pennsylvania-based competitor, Modular Space Holdings, Inc., which representation included advising WillScot on all aspects of the multifaceted transaction, including in respect of the complex debt and equity financing package used to finance the acquisition.
  • TDR Capital (TDR) on the sale of the International Car Wash Group (ICWG) to Atlanta-based private equity firm Roark Capital Group (Roark). ICWG is the world’s largest car wash operator, washing more than 35 million cars every year through 900 locations across Europe, Australia and the U.S.
