A&O Shearman advises ANIMA in the public tender offer by Banco BPM

A&O Shearman advises ANIMA Holding S.p.A. (the "Company") and its independent directors in relation to the voluntary public tender offer for all the outstanding shares of the Company promoted by Banco BPM Vita S.p.A., a company controlled by Banco BPM S.p.A., that will start on Monday, March 17, 2025.

The offer, subject to certain conditions of effectiveness, is aimed at delisting the Company. If the conditions of effectiveness are met (or waived, as the case may be) and, therefore, the offer becomes effective, Banco BPM Vita S.p.A. will pay the tendering shareholders a cash consideration of EUR7.00 (cum dividendo) for each tendered share in the voluntary tender offer for a possible maximum aggregate outlay of approximately EUR1.776 million.

The parent company, ANIMA Holding S.p.A., has been a public company listed on the Milan Stock Exchange since 2014.
