Amanda also has a tax qualification enabling her to advise clients holistically in respect of finance, preference shares and debt restructure transactions.

Representative matters

  • Pick ‘n Pay Group on its and capital restructure involving a broad group on investment banks and financial institutions.
  • FirstRand Bank Limited (acting through its Rand Merchant Bank division) (RMB) and a financial services group as lenders and preference shareholders in respect of the financing of the 97.5MWac Solar PV Project. A&O developed a novel funding structure, constituted by pari passu loan and preference share funding instruments.
  • Ascendis Health Limited on the restructuring of its approximately ZAR6bn indebtedness – a first of its kind in the South African market, being the restructuring of a JSE listed company by way of an asset for debt swap transaction.
  • Intesa Sanpaolo Group, Investec Bank Limited and a large syndicate of South African and international lenders in relation to a USD150mil facility advanced to CRDB Bank PLC, a Tanzanian bank. This was the first private sector syndicated loan transaction in Tanzania.
  • FirstRand Bank Limited (acting through its Rand Merchant Bank division) (RMB) and the Standard Bank of South Africa Limited on USD175mil facilities provided to Channel VAS Investments Limited – a funding transaction across several jurisdictions including the UAE, South Africa, Nigeria and the BVI.
