Andrew advises both managers and issuers on a broad range of transactions in the debt capital markets, including the establishment of medium term note programmes, standalone debt issuances, statutory covered bonds, corporate hybrids and commercial paper.

His practice has a particular focus on liability management (being tender offers, exchange offers and consent solicitation exercises) for financial institution, corporate, sovereign and supranational issuers.

  • The solicitation agents on a consent solicitation exercise by a global insurance company in connection with the demerger of its UK and European business.
  • The sole solicitation agent on a consent solicitation exercise by ResLoC UK 2007-1 in relation to a LIBOR transition of its existing multi-class securitisation.
  • The dealer managers on the USD3.5bn tender offer by Anheuser-Busch InBev for certain series of its outstanding bonds.
  • The joint global co-ordinators and the other bookrunners on a multi-tranche EUR4.25bn and GBP800m standalone issuance by CK Hutchison Group Telecom.
  • The solicitation agents on a consent solicitation exercise by Santander UK to replace LIBOR as the applicable reference rate under several series of its Additional Tier 1 securities.
  • The arranger on the establishment of a GBP2bn medium term note programme for a global retail company.
  • The dealer managers on an exchange offer by Türkiye Vakıflar Bankası in relation to its existing USD900m subordinated notes and a connected consent solicitation exercise.
  • The joint lead managers on a EUR1.25bn dual tranche corporate hybrid issuance by EDP – Energias de Portugal.
  • The arranger on the establishment of a GBP3bn commercial paper programme for EasyJet.

Pro bono

  • Andrew is a trustee of Spitalfields Crypt Trust, a charity based in London that works with those suffering from drug and alcohol addiction.
