Experience

Representative matters

  • City of Hamburg and HGV on MSC's takeover bid for HHLA AG (terminal operator) and on the agreements with MSC on future cooperation with MSC.
  • Regular advice of a leisure, travel and tourism company on including three large capital measures in the past two years alone (EUR1.1bn capital increase, EUR400m convertible bond and topping up of this by EUR190m as well as EUR1.8bn financing package to bridge the Covid 19 pandemic) as well as two billion-Euro M&A transactions (sale of the EUR1.5bn RIU hotel joint venture stake and the EUR1.2bn a subsidiary of the company joint venture with Royal Caribbean).
  • Hamburger Hafen und Logistik AG (HHLA) on the strategic investment of COSCO Shipping Ports Limited (CSPL), a Hong Kong listed terminal operator and member of COSCO Shipping Group, in HHLA Container Terminal Tollerort (CTT). 
  • Advent International on the sale of allnex Group to Netherlands-based PTTGC International (Netherlands) B.V., a wholly owned subsidiary of Bangkok-based PTT Global Chemical Public Company Limited. This is one of the biggest private equity deals in 2021. 
  • Mubadala, the sovereign wealth fund of the United Arab Emirates, on the sale of its stake in the international chemical company Borealis in the amount of EUR4.2bn.
