Jonathan Gordon
Jonathan advises U.S. and non-U.S. banks and other financial institutions on a wide range of regulatory and transactional matters under U.S. banking laws.

He has experience assisting clients with regulatory compliance issues, applications, licensing, M&A and other corporate transactions, questions regarding regulatory structure and strategy, resolution planning, supervisory matters, investigations and enforcement actions. He has also advised on crypto-asset and other financial innovation-related issues.

As part of his practice, Jonathan represents banks, fintechs and other financial institutions on matters involving U.S. anti-money laundering laws and economic sanctions.

Prior to joining A&O Shearman, Jonathan practiced in the financial institutions groups of other prominent U.S. law firms in New York and Washington, D.C.

  • Silvergate Bank in its wind down and voluntary liquidation, and in settlement agreements with the Federal Reserve and the California Department of Financial Protection and Innovation. 
  • Financial institution in an internal investigation of its Bank Secrecy Act/anti-money laundering and sanctions compliance programs. 
  • Citigroup Inc. in its exclusive agreement with Apollo to form a USD25 bn private credit, direct lending program.
  • Brookfield Reinsurance in its USD4.3 bn acquisition of American Equity Investment Life Holding Company. 
  • Copenhagen-based Danske Bank A/S in investigations by the Department of Justice, the Securities and Exchange Commission, and Danish criminal authorities arising from money laundering allegations involving its former Estonian branch. 
  • Numerous fintechs in evaluating regulatory compliance structures for payments products and services (involving both fiat and virtual currency). 
  • U.S. and global financial institutions in various matters before the Office of Foreign Assets Control, including license applications.
