Kerry advises on a broad range of capital markets transactions including EMTN and commercial paper programmes, green bonds, corporate hybrid issuances, sustainability-linked bonds and liability management exercises.
She has acted for both managers and issuers (including corporates, financial institutions and sovereigns), across various jurisdictions including the Nordics and the UK.

Experience

Representative matters

  • The joint lead managers on multiple transactions by the Hellenic Republic, including new issues, taps of existing issues and a EUR25bn exchange offer for existing holders to exchange their bonds for new bonds.
  • The dealers on the establishment of H&M Hennes & Mauritz AB (publ)’s EUR12 billion Euro Medium Term Note programme establishment and the issue of EUR500 million sustainability-linked bonds thereunder. This was awarded the Socially Responsible Investment Bond of the Year by Global Capital.
  • The Sage Group plc on its debut issuance of £350 million 1.625 per cent. notes due 2031 and its subsequent issuance of £400 million 2.875 per cent. Notes due 2034.
  • The State of Israel in respect of its capital markets funding across two programmes: an EMTN programme for primarily syndicated issuances targeting institutional investors and a retail bond programme, which is passported into multiple European jurisdictions.
  • WPP on its EUR6bn Medium Term Note Programme update 2021.
  • Marks & Spencer plc on its invitation to holders to tender their outstanding GBP300m 6.125% notes due 2021 and new issue of GBP300m 3.750 per cent. Notes due 19 May 2026.
  • An export credit agency on the update of its USD30bn Programme for the Issuance of Debt Instruments update.
  • Imperial Brands plc on the update of its EUR15bn Euro Medium Term Note Programme update and the issuance of EUR1bn 1.750 per cent Notes due 2033 thereunder.
  • The joint lead managers on multiple hybrid issuance by Heimstaden Bostad AB.
  • Luminor Bank AS on the update of its EUR3bn Euro Medium Term Note and Covered Bond Programme and issuances thereunder of EUR300m Fixed to Floating Rate Notes due 2024 and EUR300m Fixed to Floating Rate Notes due 2024.
  • The managers on the establishment of Novo Nordisk A/S’s EUR5bn Euro Medium Term Note Programme establishment and dual tranche issuance of EUR1.3bn notes thereunder.

Pro bono

  • Working with Coram Children’s Legal Centre to help register children as British citizens.
