Marek is a debt capital markets and debt finance specialist.

Marek has broad experience acting for managers, arrangers and issuers on a wide range of debt capital markets instruments, including corporate bonds, green bonds, covered bonds, regulatory capital (including MREL-eligible bonds) and liability management (namely consent solicitations and exchange offers). This is coupled with experience advising on equity capital markets (initial public offerings and secondary rights issuances) and financial regulatory matters, such as transparency regime or market abuse rules.

Marek has advised lenders and borrowers on general lending, real estate and leveraged finance transactions in the CEE and emerging markets. He has been also involved in advising investors on venture capital investments in the technology sector and buyers and sellers on cross-border acquisitions.

Representative matters

  • Slovenska sporitelna, on EUR 500m Green Covered Notes due in 2028 issued under its EUR 5bn Debt Securities Issuance Programme. The first green covered bonds issued in Slovakia.
  • Tatry Mountain Resorts on a complex recapitalization that includes EUR 120m secondary rights offering in Slovakia, Czech Republic and Poland.
  • Tatra banka on EUR 250m Green Senior MREL-eligible Notes due in 2025 issued under its EUR 4bn Debt Securities Issuance Programme. The first MREL-eligible green senior notes issued in Slovakia.
  • J&T IB and Capital Markets, as arranger, and J&T BANKA, as manager, on the first publicly offered convertible bonds in Slovakia.
  • A multinational financial institution on a £525m loan facility to support the development of a logistics portfolio in the UK owned by St Modwen.
  • Investcorp on leading the USD100m Pre-IPO round in TruKKer, the largest digital freight network in the MENA region.
     

Pro bono

  • Advising Slovenska sporitelna on the first social bonds issued in Slovakia to finance affordable rental housing for socially disadvantaged and vulnerable groups.
  • Advising TrustLaw on movement of journalists’ personal protective equipment across Slovak borders.
  • Advising PILnet on developing a guideline on setting up and operating non-profit bank accounts in Slovakia.
