Minesh works on a broad range of investment grade debt capital markets transactions in Australia and New Zealand. 
He has acted for issuers and lead managers on the establishment and updates of medium term note and covered bond programmes, establishment of secured debt programmes for major infrastructure assets, Reg S standalone bond issuances, bank regulatory capital instruments, corporate hybrids and liability management exercises.

Representative matters

  • Joint Lead Managers on Worley’s EUR500 million five-year sustainability-linked Eurobond sale. It was the first public sustainability-linked bond transaction from an Australian corporate in any market and Worley’s first-ever public capital markets deal.
  • ASB Bank Limited as Issuer as to matters of English law in connection with the issuance of EUR750mn fixed rate covered bonds under the EUR7bn Covered Bond Programme. The deal is noteworthy for its sizeable value. At the time of issue, the transaction was the largest covered bond ever issued by a NZ bank.
  • NBN Co on the establishment of its USD50bn GMTN programme and inaugural USD2bn issuance under the Programme. Also advised on the establishment of NBN Co’s AUD10bn AMTN programme and its first two issuances in November 2020. The GMTN programme is particularly significant as it is the largest corporate debt programme in Australian history.
  • Scentre Group, the Australian operator of Westfield Living Centres on its inaugural hybrid security issuance comprising USD3.0 billion (AUD4.1 billion) sold in the U.S. under 144A and internationally in reliance on Regulations.
