Senior Associate

Minh provides counsel on banking and finance, capital markets, projects, and aviation transactions. 

With extensive experience, he assists clients such as private equity funds, corporations, multilateral institutions, and financial institutions in their roles as lenders, borrowers, guarantors, lessors, and issuers to navigate complex and diverse domestic and cross-border transactions. He is highly experienced in structuring and negotiating cross-border deals and has expertise of domestic and international bond issuances. Minh has successfully advised on multiple landmark transactions and award-winning projects.

Minh is qualified to practice law in both England & Wales as a solicitor and in Vietnam as an attorney. He has worked in A&O Shearman’s Singapore and London offices.

Representative matters

The initial purchasers on Vietnamese property developer BIM Land JSC’s debut Reg S offering of USD200m 7.375% bonds due 2026. This transaction marks the first offshore bond offering by a Vietnamese issuer since 2019 and the first corporate green bond out of Vietnam. Best Green Bond in Vietnam, The Asset Triple A Country Awards 2021. 

GuarantCo as a partial guarantor of a VND1,725b (USD75m) green bond issued by EVNFinance. The bond was Vietnam’s first onshore, local currency, internationally verified green bond; and the first-ever partially guaranteed corporate bond that has attracted institutional investors to the country. Best Of the Frontier Markets, FinanceAsia 2022 & Wrap of the Year, IJGlobal APAC Awards 2022. 

Multiple international banks on a USD790m syndicated loan to Vietinbank. Best Syndicated Loan – Vietnam, The Asset Triple A Country Awards 2021. 

The joint mandated lead arrangers and bookrunners on the USD950m Euler Hermes-backed export credit to VinFast Trading and Production Limited Liability Company (“VinFast”), Vietnam’s first wholly domestic car manufacturer. 

Novaland on its Reg S offering of USD300m convertible bonds listed on the SGX. 

Credit Guarantee and Investment Facility (CGIF), a trust fund of the Asian Development Bank, on the guarantee of the issuance of VND-bonds by Biwase – Long An Water (rated AAA by FiinRatings), Refrigeration Electrical Engineering Corporation, Gelex, Tecomen, A&A Green Phoenix Group, and Vingroup. 

IFC on its subscription to many bonds issued by reputable Vietnamese issuers including Phu My Hung Development Corporation and Nam Long Investment Corporation, and on many loans to Vietnamese companies including BIM Land, Kim Tin and several banks in Vietnam. 

The arrangers and lenders on a loan facility in relation to Vietnam’s largest waste-to-energy project at the time, located within Hanoi’s Nam Son Waste Treatment Complex. The project is owned, constructed and operated by Ha Noi Thien Y Environmental Energy Joint Stock Company, a subsidiary of the PRC-listed China Tianying Inc. 

The lenders and note trustee on the repackaging of the existing project financing for the Mong Duong 2 project in Vietnam. This is a market first in Vietnam and represents the first time a combination of project bonds and traditional bank debt has been used to repackage an existing project financing in Vietnam. 

KKR on its investment in Masan Group and Masan Nutri-Science. Masan Group is one of Vietnam's largest private sector companies and Masan Nutri-Science, its meat producing unit. 

KKR on its USD650m investment in Vinhomes, the leading integrated real estate developer in Vietnam.
