Soline advises on a wide range of debt capital market matters including debt securities issuances (notably structured, regulatory capital and ESG issuances), tender or exchange offers of debt securities (liability management), debt restructuring (general meetings of bondholders i.e. consent solicitation) and regulatory issues relating to such debt securities (e.g. ESG, benchmark, crypto-assets). 

She has worked extensively with clients to develop issuance programmes to meet their needs while complying with legal requirements.

She advises major French and international banks and issuers across jurisdictions and in multiple sectors in the context of these types of transactions and works in particular with credit institutions, corporates, insurance companies and covered bond issuers (sociétés de crédit foncier). She has specialized in the sector for 14 years and is widely recognized in the market. She is a regular commentator on new regulations (e.g. ESG matters).

Representative matters

  • Joint lead managers on Axa’s first issue of Restricted Tier 1 notes for a total nominal amount of EUR1.5billion.
  • Bank syndicate on the consent solicitation of Vigie in connection with the merger Veolia/Vigie (ex-Suez).
  • Joint lead managers in connection with the first issue of sustainability linked notes by Verallia, the first issuer in the glass-packaging industry in Europe.
  • Groupama Assurances Mutuelles on the tender offer of undated senior subordinated notes.
  • Several credit institutions in the restructuring of their debt securities issuances indexed on Libor.

Pro bono

  • Mentoring young students in Licence 2 through A&O “Premiers Pas” programme.
