Tomáš is a debt finance expert who advises on leverage finance and capital markets transactions, including debt, structured products and derivatives, and related financial regulation.
He has a track record of advising some of the world's largest private equity sponsors and financial institutions on complex and cross-border transactions across Europe and the United States. He has a particular expertise in acquisition financing, refinancing or exit strategies, involving loans and bonds.

Experience

Representative matters

  • J&T IB and Capital Markets as the sole arranger, and J&T BANKA as the sole lead manager and fiscal and paying agent, on the issuance of up to CZK2.1bn senior guaranteed Czech law-governed and Prague-listed fixed rate bonds by a Delaware limited liability company Liberty One Methanol LLC guaranteed by a financial guarantee of a Swiss-based joint-stock company KKCG AG.
  • Komerční banka as an issuer of EUR500 million ‘AAA’-rated covered bonds with a negative yield on hedging aspects of the issue.
  • Komerční banka as a sole lender on a financing of KKCG AG.
  • Československá obchodní banka on an establishment of a public investment certificates programme, with underlyings referencing equities, indices, interest rates, FXs and others and on multiple issuances to retail clients.
  • Czech Banking Association, ISDA and other associations on the validity and enforceability of OTC derivatives master agreement vis-à-vis various Czech counterparties.
