Vitita’s practice includes advising on corporate and commercial mandates, mergers and acquisitions, joint ventures, as well as equity capital markets transactions. 
Vitita has extensive experience advising on equity capital markets transactions, including the IPOs, secondary offerings and block trades, and has advised numerous clients on legal issues related to corporate laws and regulations of the Thai Securities and Exchange Commission and Stock Exchange of Thailand, in addition to conducting due diligence exercises for various transactions.

Representative matters

Thai and international counsel to Thai Life Insurance Public Company Limited (the issuer) on the THB37.1bn (USD1.01bn) initial public offering (the IPO) and share listing on the Stock Exchange of Thailand. The deal represented the largest IPO in Thailand during calendar year 2022 and was Awarded ‘Best Equity/IPO Deal of the Year in Thailand’ at the 16th Annual Best Deal & Solution Awards 2022 by Alpha Southeast Asia.

Thai and international counsel to the underwriters on the THB78.1bn (USD2.4bn) initial public offering (the IPO) and share listing of Central Retail Corporation Public Company Limited (CRC) on the Stock Exchange of Thailand. The transaction also involved the group restructuring of CRC, including the delisting tender offer for Robinson Public Company Limited, concurrent with the IPO process. This was the largest IPO in Thailand to date and the second largest IPO globally of a retail focused company.

Thai and international counsel to the underwriters on the THB33.1bn initial public offering (the IPO) and share listing of Ngern Tid Lor Public Company Limited (TIDLOR) on the Stock Exchange of Thailand. Awarded ‘Best Equity/IPO Deal of the Year in Southeast Asia’, 15th Annual Best Deal & Solution Awards 2021 by Alpha Southeast Asia.

Thai counsel to the financial advisors and underwriters on the THB54bn initial public offering and listing of PTT Oil and Retail Business Public Company Limited on the SET. The IPO comprised a public offering of shares in Thailand and a concurrent offering outside Thailand, including to qualified institutional buyers in the U.S. pursuant to Rule 144A and/or Reg S under the U.S. Securities Act of 1933, as amended. Awarded ‘Best IPO: Thailand’, The Asset Triple A Country Awards 2021 and 'Best Deal of the Year & Best IPO for Retail Investors in Southeast Asia', 15th Annual Best Deal & Solution Awards 2021 by Alpha Southeast Asia.

Thai and international counsel to the underwriters on the THB39.55bn initial public offering (the IPO) and share listing of SCG Packaging Public Company Limited (SCGP) on the Stock Exchange of Thailand. Awarded ‘IPO Deal of the Year’, Stock Exchange of Thailand Awards 2021.

 

 

Pro bono

Advised Aspen Network for Development Entrepreneurs (ANDE) regarding the legal frameworks and regulatory regime for impact investing in Thailand.

Advised Orchid Project regarding the legal frameworks and regulatory regime for female genital mutilation.

Advised the Global Fund to Fight AIDS, Tuberculosis and Malaria in relation to the legal frameworks and regulatory regime for access to sexual and reproductive healthcare for young persons.

Advised Asia Pacific Transgender Network Foundation in relation to personal data protection under Thai law.

Advised Borderless360 on their collaboration to establish a joint inclusive education programme for refugees in Thailand with the People’s Empowerment Foundation.

Advised Friend International for reorganization and incorporation of a new holding structure.
