Allen & Overy advises PAI Partners on its acquisition of a majority stake in Infra Group

Allen & Overy has advised PAI Partners, a pre-eminent private equity firm, on its acquisition of a majority stake in Infra Group, a multi-disciplinary network infrastructure services provider.

PAI Partners will become the largest shareholder in Infra Group, joining current investors ICG, Andera Partners and the management team led by Tom Vendelmans.

Headquartered in Belgium, Infra Group is a leading player in infrastructure services across Belgium, Germany, the Netherlands and France, with over EUR750m annual revenues and more than 3,000 highly skilled technical staff.

PAI Partners’ investment will support Infra Group and its management team as they continue to deliver the group’s growth strategy. In particular, PAI Partners will draw on its expertise in infrastructure and technical services to further strengthen the company’s position and accelerate its expansion.

The Allen & Overy team was led by Paris partner Marc Castagnède and Brussels partner Frederiek Adams, with Paris counsel Jules Lecoeur, Brussels senior associate Juno Hautekiet, Paris associate Gaëtan Le Bris and Brussels associate Claire Contreras Latorre on corporate aspects. The team also included Paris partner Guillaume Valois, Brussels partner Patrick Smet and Paris counsel Charles del Valle on the tax aspects, as well as London partner Adam Zecharia and London senior associate Yasmin Joharchi on financing aspects.
