A&O Shearman advises Miller Homes on acquisition of St Modwen Homes

A&O Shearman has advised Miller Homes Limited (“Miller Homes”), one of the UK’s leading homebuilders, on its agreement to acquire St Modwen Homes. The acquisition is part of Miller Homes’ growth strategy and is significant in helping it meet its medium-term ambition of reaching 6,000  homes a year.

The deal sees Miller Homes acquire 19 live sites, totaling around 3,500 plots for new homes, and a further five strategic sites, growing its business in the West Midlands, East Midlands and south regions and entering the south west of England for the first time. 

Miller Homes will continue to operate the business under the St Modwen Homes brand, and it will establish a new regional office in the south west of England.

The A&O Shearman deal team was led by private equity partner Paul Dunbar and counsel Josh Baxter. The team also included associates Harriet Steel and Alex Brown. 

The deal is subject to regulatory approval and is expected to close in Q1 of 2025.
