A&O Shearman represents U.S. Department of Energy in USD7.54 billion project financing for StarPlus Energy lithium-ion battery factories

A&O Shearman represented the U.S. Department of Energy in a USD7.54bn financing for StarPlus Energy LLC, a joint venture between Stellantis NV Ford and Samsung SDI Co. Ltd., to build two lithium-ion battery cell and module manufacturing plants located in Kokomo, Indiana.

The borrower is a joint venture between FCA US LLC (a wholly owned subsidiary of Stellantis N.V.) and Samsung SDI Co. Ltd. (Samsung SDI). The StarPlus project will produce about 67 GWh of EV batteries, enough to supply approximately 670,000 vehicles annually which will displace the usage of approximately 260.3 million gallons of petroleum per year. The loan was announced on December 17, 2024, in a press release.

The A&O Shearman team that represented the DOE was led by energy natural resources and infrastructure (ENRI) partner Sami Mir, and included ENRI associates Niso Matari, Domingo Rios Rivera, Leopold Melo and Punarva Gera, ENRI clerk Juan Santiago, M&A partner Keren Livneh, environmental and sanctions counsel Kuang Chiang, M&A associate Will Jackson and environmental and sanctions associate Ben Vallimarescu.
